Terms of Service
The agreement between your institution and Lamda Infotech Private Limited for use of School eDiary.
These Terms of Service govern your use of the School eDiary mobile application, the schoolediary.in website and related services (the “Services”), supplied by Lamda Infotech Private Limited. By creating an account, signing in or using the Services you agree to these Terms. If you are using the Services on behalf of an institution, you confirm you are authorised to accept these Terms for it.
1. Privacy
Your use of the Services is also governed by our Privacy Policy, which forms part of these Terms. In short: we process institutional data on the institution’s instruction, and we do not share your data with third parties or advertisers.
2. Accounts
- Accounts are issued by the institution. You must provide accurate information and keep it current.
- You are responsible for everything done through your account. Keep your password and 4-digit PIN confidential and tell us promptly if you suspect unauthorised access.
- A minor’s account is set up and supervised by the institution with the consent of a parent or guardian.
- An account that is not signed in to for a prolonged period may be treated as dormant and deactivated after notice.
- When an account is closed, it enters a suspension period before content associated with it is deleted, so that closure made in error can be reversed.
3. Your content
Notices, homework, attachments, comments, feedback and other material you submit remain yours. You grant Lamda Infotech a non-exclusive, royalty-free licence to host, store, reproduce and transmit that material only to the extent needed to operate the Services for you and your institution. You confirm you hold the rights necessary to submit the material and that it does not infringe anyone else’s rights.
4. Acceptable use
You must not use the Services to:
- break any law, or encourage or assist anyone else to do so;
- harm, exploit, endanger or harass a child, or any other person;
- send spam, chain messages or unsolicited commercial communications;
- upload obscene, defamatory, hateful, threatening or otherwise objectionable material;
- impersonate another person, or misrepresent your role at an institution;
- attempt to gain unauthorised access to accounts, systems or data, or to circumvent any access restriction;
- introduce malware, or take any action that damages or unreasonably burdens the Services;
- collect or publish another person’s information without their consent.
We may suspend or close an account that breaches this clause, and will inform the institution where appropriate.
5. Licence to use the software
Subject to these Terms and to payment of the applicable fees, Lamda Infotech grants your institution and its authorised users a limited, non-exclusive, non-transferable, revocable licence to use the Services for the institution’s own educational operations. You may not resell, sublicense, rent or redistribute the Services, nor copy, modify, decompile or reverse engineer any part of them, except to the extent that applicable law expressly permits it. All intellectual property in the Services, including the School eDiary name and logo, remains with Lamda Infotech.
6. Fees and payment
- Subscription fees are set out in the order or quotation agreed with your institution, and are exclusive of taxes, which are charged additionally at the applicable rate.
- Subscriptions renew for successive terms unless either party gives notice before the renewal date.
- Fees paid are non-refundable except where the order document or applicable law provides otherwise. Cancellation takes effect at the end of the paid term.
- Please raise any billing dispute promptly — and in any case within 90 days of the invoice concerned — so it can be investigated while records are current.
- Devices, internet connectivity, SMS charges and any optional hardware such as face-recognition, QR or biometric equipment are your responsibility unless agreed otherwise in writing.
7. Third-party services
The Services integrate with third parties, including the Google Play Store, video-conferencing platforms used for live classes, SMS gateways, mapping providers and payment gateways. Those services are governed by their own terms, and Lamda Infotech is not responsible for their availability, content or acts.
8. Availability, changes and support
We work to keep the Services available, but they may be interrupted for maintenance, upgrades or reasons beyond our control, and we do not guarantee uninterrupted operation. We may add, change or withdraw features, and may release updated versions of the app; we are not obliged to support older versions indefinitely. Institutions should retain their own records of critical information. We may amend these Terms from time to time; continued use after the revision date means you accept the amended Terms.
9. Warranties
The Services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Lamda Infotech disclaims all implied warranties, including merchantability, fitness for a particular purpose and non-infringement, and does not warrant that the Services will be error-free, uninterrupted or that all data will be accurate at all times. Nothing in these Terms excludes any liability that cannot lawfully be excluded.
10. Limitation of liability
To the extent permitted by law, Lamda Infotech is not liable for indirect, incidental, special or consequential loss, or for loss of profit, revenue, goodwill or data. Our total aggregate liability arising out of or relating to the Services is limited to the amount paid for the Services in the month in which the claim arose, or ₹500, whichever is greater.
11. Indemnity
You agree to indemnify Lamda Infotech against claims, losses and reasonable costs arising from your breach of these Terms, your misuse of the Services, or content you submit that infringes another person’s rights.
12. Suspension and termination
Either party may terminate in accordance with the order document. We may suspend or terminate access where fees are unpaid, where these Terms are breached, or where continued access presents a security or legal risk. On termination, the institution may request an export of its data within the period stated in its contract, after which the data is deleted in line with our Privacy Policy.
13. Contracting entity and governing law
The Services are provided by Lamda Infotech Private Limited, having its office at Saltee Plaza, Room No 603, 6th Floor, 1/G Khudiram Bose Sarani, Near Nagerbazar, Kolkata – 700080, West Bengal, India. These Terms are governed by the laws of India.
14. Dispute resolution
The parties will first attempt to resolve any dispute by discussion in good faith. Failing that, the dispute will be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996, seated at Kolkata and conducted in English. Subject to arbitration, the courts at Kolkata have exclusive jurisdiction. Claims should be brought within one year of the events giving rise to them. Disputes are resolved individually; class or representative proceedings are not permitted.
15. Feedback and unsolicited ideas
We welcome suggestions. If you send us feedback or ideas about the Services, we may use them without restriction or obligation, and no confidential relationship is created by your doing so.
16. General
If any provision is held unenforceable, the rest continues in force. A failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them to a successor in connection with a reorganisation or sale of the business. Clauses relating to content licences, fees due, warranties, liability, indemnity and dispute resolution survive termination. These Terms, together with the order document and the Privacy Policy, form the entire agreement between the parties in respect of the Services.
